Terms of service
Version 2026-09-13. A firm accepts these terms when it starts a free trial or subscribes; the version accepted is recorded with the firm's account. Changes are announced as described in "Changes to these terms".
The service
MG Legal Ops LLC ("we") licenses the MG Legal Ops assistant software (the "Software", including its code, skills, documentation, and updates) to the subscribing firm ("you") for use by the attorneys and staff you designate, on a per-user monthly subscription. The Software runs on your computers and uses your own Microsoft 365, Clio, and Claude accounts, which remain subject to those providers' terms.
License and ownership
The Software is licensed, not sold. We own and retain all right, title, and interest in the Software, including all copyright, trade secrets, and other intellectual property in it, and every copy of it on your computers remains our property. Subject to these terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to install and use the Software on the computers of the users you have designated and paid for (or, during a free trial, the users we have enabled), for your firm's own internal law practice, for as long as your subscription or trial is current. No other right is granted, by implication or otherwise. The fact that the Software is delivered as readable source code does not enlarge this license.
What you may not do
Except as expressly permitted above, you may not, and may not permit anyone else to:
- copy the Software other than as needed to install it on a licensed computer;
- modify, adapt, translate, or create derivative works of the Software, or use any part of it in another product;
- disable, remove, bypass, or interfere with the Software's subscription check, access key, update mechanism, or any other technical measure, or run the Software after your trial or subscription has ended;
- share, publish, sell, rent, lease, lend, sublicense, or otherwise transfer the Software, your firm's access key, or your settings file to anyone outside your firm, or use the Software to serve any third party;
- use the Software, or knowledge of how it works, to build, train, or improve a product or service that competes with it;
- remove or alter any proprietary notice in the Software or its documentation; or
- reverse engineer, decompile, or disassemble any part of the Software that is not delivered in readable form, except to the extent a law expressly permits it despite this restriction.
Any use outside the license is unauthorized. Unauthorized use is a material breach of these terms and an infringement of our copyright, and we may pursue both. [Attorney to confirm against Illinois law and the Copyright Act's treatment of licensed software.]
Who agrees
The person who signs up or enters a card on the firm's behalf represents that they are authorized to bind the firm to these terms. The firm's access key identifies the firm to us; keep it confidential, share it only with the attorneys and staff you designate, and tell us promptly at support@mglegalops.com if you believe it has been disclosed, so we can issue a new one.
What we provide
- The software, its updates, and its documentation.
- Setup guidance (a short video and the assistant's own step-by-step walkthrough) and email support during business hours.
- Fixes for problems the software reports or you report.
What you are responsible for
- Reviewing every proposed action before confirming it. The software is designed so that nothing is written to your records without your confirmation; the decision to confirm is yours.
- Your obligations to your clients, your bar, and your providers. The software assists with administration; it does not provide legal advice and does not replace professional judgment.
- Keeping your computers, accounts, and sign-ins secure.
Free trial
A new firm may use the Software free for fourteen days from the day we send its access key. No payment card is required to start, nothing is charged during the trial, and there is nothing to cancel: unless the firm subscribes before the trial ends, the license ends on the fourteenth day and nothing is owed. To continue, the firm subscribes by adding a payment card, from which point the fees below apply. One trial per firm. Any use of the Software after the trial ends without a subscription is unlicensed and is treated as unauthorized use under "What you may not do".
Fees and billing
Once you subscribe, this is an automatically renewing monthly subscription. It renews each month on the same day until you cancel, and each renewal is charged to the card on file. You can cancel at any time from your billing page or by writing to support@mglegalops.com; cancelling stops the next renewal.
Billed monthly in advance, per designated user, at the rate shown on our pricing page or agreed in writing. The founding-firm rate is held for twelve months from the start of the paid subscription. You tell us how many users to bill for; if the number of attorneys using the software grows, we will tell you and adjust the next invoice rather than interrupt anyone's work. Fees exclude any sales or use tax we are required to collect. Cancel at any time; access continues to the end of the period already paid for. No refunds for partial months. Payments are handled by Stripe; we never see or store card numbers.
Data
We do not receive or process your client data. See the privacy policy for what we do receive.
Warranty and liability
The software is provided as is. We do not warrant that it is error-free. To the fullest extent permitted by law, our total liability for any claim arising from the service is limited to the fees you paid in the twelve months before the claim, and we are not liable for indirect or consequential damages. Term and termination
You may cancel at any time from your billing page or by writing to us; the subscription ends at the close of the period already paid for. A trial needs no cancelling; it ends on its own unless you subscribe. We may suspend access for non-payment after notice, and may terminate the license immediately on notice for a breach of "What you may not do". On termination or expiry the license ends: the Software stops working and stops updating, and within seven days you must stop all use of it, delete every copy from your computers (the project folder, the access key, and the settings file), and, if we ask, confirm in writing that you have done so. Nothing in your Microsoft 365 or Clio accounts changes; your own data and records are unaffected.
Remedies for unauthorized use
Because the Software is delivered as readable code and runs on your computers, we rely on these terms rather than technical locks. Accordingly:
- You agree that unauthorized use, copying, or disclosure of the Software would cause us harm that money alone cannot repair, and that we are entitled to an injunction or other equitable relief to stop it, without having to post a bond, in addition to any other remedy.
- For any period in which the Software is used outside the license, you will pay, as a minimum measure of our loss and not as a penalty, our then-current list rate for every user who used it, plus our reasonable costs of discovering and addressing the use. - In any action to enforce these terms, the prevailing party may recover its reasonable attorneys' fees and costs.
- On reasonable notice, no more than once a year unless we have reason to suspect a breach, you will confirm in writing the number of users of the Software at your firm, and we may rely on the usage counts the Software reports to us.
Confidentiality
The Software's code, its documentation that is not published on our website, our pricing offered to you, and anything we mark confidential are our confidential information. You will use it only to use the Software as licensed, and will not disclose it outside your firm except to the extent a law or court order requires, with notice to us where permitted.
Changes to these terms
We may update these terms. We will email the firm's contact at least thirty days before a change that affects fees or your rights takes effect; continuing to use the software after that date is acceptance. Other changes take effect when posted here.
